General Terms and Conditions (GTC)<\/h1>\n

Gingkos S.L.\u2019s General Terms and Conditions<\/strong><\/p>\n

As at 4 June 2026<\/strong><\/p>\n

1.2 These General Terms and Conditions apply to all orders placed through the Gingkos S.L. online store at the domain gingkos.eu<\/strong>, as well as through any preliminary, test, or transitional domains, provided that these General Terms and Conditions are referenced on such domains.<\/p>\n

1.3 These General Terms and Conditions apply to both consumers and businesses, unless a distinction is expressly made in individual provisions. A consumer is any natural person who places an order for purposes that are predominantly neither commercial nor related to their self-employed professional activity. A business is any natural or legal person, or a partnership with legal capacity, which, at the time of concluding the contract, is acting in the course of its commercial, business or craft-related <\/p>\n

1.4 Any terms and conditions of the customer that differ from, conflict with or supplement these terms and conditions shall only form part of the contract if Gingkos S.L. has expressly agreed to their validity in writing.<\/p>\n

2. Products, Technical Specifications, and Evidence-Based Information<\/h2>\n

2.1 Gingkos S.L. specialises in the distribution of radon protection, waterproofing, construction and membrane products, as well as complementary products in the fields of the home environment, construction, indoor climate and building biology applications.<\/p>\n

2.2 The key characteristics of the products are set out in the relevant product descriptions, technical data sheets, installation and processing instructions, declarations of performance, test reports and other product-related documentation, insofar as these are made available to the customer prior to the conclusion of the contract.<\/p>\n

2.3 Technical specifications\u2014particularly those relating to waterproofing, radon protection, moisture protection, material properties, standards, tests, measured values, or certifications\u2014apply exclusively to the specific product characteristic described, the tested construction, the tested application, or the conditions specified in the product information. They do not constitute a guarantee of a specific measurement result, a specific building parameter, a specific health condition, or a specific effect in a specific property, unless this has been expressly designated and promised in writing as a guarantee. <\/p>\n

2.4 To the extent that product information refers to concepts related to building biology, geopathy, energy, harmonization, the built environment, sleep, or well-being, such information does not constitute medical advice, diagnosis, therapy, medical treatment, or a promise to prevent, treat, or cure diseases. The products are not intended to be drugs, medical devices, or substitutes for medical, structural engineering, radiation protection, or other professional advice, unless they are expressly classified and labeled as such by law. <\/p>\n

2.5 Testimonials, references, study notes, or other evidence-based information do not guarantee a specific outcome in every individual case. Individual perceptions, structural conditions, geological conditions, ventilation patterns, installation methods, substrate, connection details, and measurement methods can significantly influence the results. <\/p>\n

2.6 Warranties are valid only if they are expressly designated as \u201cwarranties\u201d and are provided in writing, specifying their specific content, duration, geographic scope, the warrantor, and the warranty terms. Consumers\u2019 statutory rights regarding defects remain unaffected by warranties. <\/p>\n

3. Conclusion of a Contract in the Online Store<\/h2>\n

3.1 The presentation of products in the online store does not constitute a legally binding offer, but rather an invitation to the customer to place an order.<\/p>\n

3.2 The customer can select products, add them to the shopping cart, and review and correct their entries at any time during the ordering process before submitting the order.<\/p>\n

3.3 By clicking the final order button\u2014which clearly indicates an obligation to pay, such as \u201cPlace Order with Payment Obligation\u201d\u2014the customer submits a binding offer to purchase the items in the shopping cart.<\/p>\n

3.4 Upon receipt of the order, the customer will receive an automatic confirmation of receipt via email. This confirmation of receipt merely documents the receipt of the order and does not constitute acceptance of the contract offer unless acceptance is expressly stated therein. <\/p>\n

3.5 The contract is concluded as soon as Gingkos S.L. expressly accepts the order by email, ships the goods, or requests payment from the customer, unless the payment request is already generated automatically during the ordering process.<\/p>\n

3.6 Gingkos S.L. reserves the right to refuse an order, particularly if products are unavailable, if information in the online store was inadvertently incorrect, if the customer provided false information, if there is suspicion of misuse, or if legal restrictions on delivery apply.<\/p>\n

4. Language of the Contract, Storage of the Contract Text<\/h2>\n

4.1 The language available for entering into the contract is German. If the online store is also available in Spanish or another language, the contract may be entered into in the language selected during the ordering process. <\/p>\n

4.2 Gingkos S.L. stores the text of the contract after it is concluded and provides the customer with the order details, these Terms and Conditions, and the cancellation policy in writing, usually by email.<\/p>\n

4.3 The customer may save and print the Terms and Conditions and the Cancellation Policy before placing an order. If a customer account is created, the customer can view their orders there. Permanent access to the contract text via the online store beyond this is not guaranteed, unless expressly offered by the online store. <\/p>\n

5. Prices, Taxes, Shipping Costs, Payment Methods<\/h2>\n

5.1 Unless otherwise expressly stated, all prices in the online store include the applicable sales tax for consumers.<\/p>\n

5.2 Any additional shipping, delivery, or freight costs will be clearly displayed to the customer before the order is placed.<\/p>\n

5.3 The available payment methods are listed in the online store and during the checkout process. Gingkos S.L. may exclude certain payment methods depending on the country of delivery, order total, customer status, or technical availability. <\/p>\n

5.4 Invoices may be provided electronically and sent by email, to the extent permitted by law.<\/p>\n

5.5 For shipments to countries outside the European Union, additional customs duties, import charges, taxes, or costs may apply that are not charged by Gingkos S.L. and must be borne by the customer, unless mandatory consumer protection regulations provide otherwise.<\/p>\n

6. Delivery, Delivery Times, Availability<\/h2>\n

6.1 The delivery area, delivery methods, and delivery times are specified in the online store.<\/p>\n

6.2 Unless a different delivery period is specified in the offer, the order will be fulfilled without undue delay and no later than 30 calendar days after the conclusion of the contract, unless otherwise agreed.<\/p>\n

6.3 If a product is unavailable, Gingkos S.L. will notify the customer immediately. In this case, any payments already made will be refunded immediately, unless an alternative shipment or a later delivery is agreed upon. <\/p>\n

6.4 Partial deliveries are permitted provided they are reasonable for the customer and do not result in additional shipping costs for the customer, unless the customer has expressly requested the partial delivery.<\/p>\n

6.5 In the event of obvious damage caused during shipping, the customer is asked to file a claim with the delivery company as soon as possible and to notify Gingkos S.L. For consumers, this is not a prerequisite for exercising their legal rights. <\/p>\n

7. Transfer of Risk and Retention of Title<\/h2>\n

7.1 With respect to consumers, the risk of accidental loss or accidental deterioration of the goods does not pass to the consumer until the goods are delivered to the consumer or to a third party designated by the consumer who is not the carrier.<\/p>\n

7.2 In dealings with business customers, the risk passes to the business customer as soon as the goods have been handed over to the carrier, freight forwarder, or any other person designated to carry out the shipment.<\/p>\n

7.3 The goods remain the property of Gingkos S.L. until full payment has been made.<\/p>\n

8. Right of Withdrawal for Consumers<\/h2>\n

8.1 Consumers generally have a statutory right of withdrawal for distance sales contracts. The details are set forth in the separate notice of withdrawal. <\/p>\n

8.2 Business owners are not entitled to a statutory right of withdrawal.<\/p>\n

8.3 The right of withdrawal may be excluded, in particular, for goods that are manufactured according to the customer\u2019s specifications or are clearly tailored to personal needs, as well as in other cases provided for by law. Details are set forth in the withdrawal policy. <\/p>\n

9. Statutory Rights Regarding Defects, Conformity of the Goods<\/h2>\n

9.1 Consumers are entitled to their statutory rights in the event of a breach of contract, defects, or nonconformity of the goods. These rights are not limited by these Terms and Conditions. <\/p>\n

9.2 To the extent that Spanish consumer protection law applies, Gingkos S.L. is liable to consumers in accordance with statutory provisions to ensure that the goods conform to the contract. Statutory rights may include, in particular, repair, replacement, price reduction, or termination of the contract. <\/p>\n

9.3 With respect to business customers, the statutory rights regarding defects apply unless otherwise validly agreed upon in individual cases. Business customers must inspect the goods immediately upon delivery and report any obvious defects in writing without delay, to the extent required by applicable law. <\/p>\n

9.4 There is no breach of contract to the extent that defects are attributable to improper storage, processing, assembly, use, modification, failure to follow technical instructions, normal wear and tear, or circumstances for which the customer is responsible.<\/p>\n

10. Special Notes on Radon Protection, Waterproofing, Installation, and Structural Applications<\/h2>\n

10.1 Products intended for radon protection, waterproofing, or use in construction require proper planning, storage, installation, and execution. The relevant technical data sheets, installation instructions, standards, building codes, and project-specific requirements shall apply. <\/p>\n

10.2 Unless Gingkos S.L. is expressly commissioned in writing to perform planning, surveying, construction supervision, installation, or other construction services, the customer is responsible for verifying the product\u2019s suitability for the specific construction project, ensuring proper installation, complying with public law requirements, and coordinating with planners, specialized contractors, or authorities.<\/p>\n

10.3 Radon levels in buildings depend, among other factors, on geological conditions, construction methods, the subsoil, connections, penetrations, ventilation, usage patterns, workmanship, and measurement methods. Product information regarding radon protection therefore does not constitute a guarantee of a specific measurement value for a building without an express written warranty. <\/p>\n

10.4 The use of radon protection or sealing products does not replace a professional radon measurement, building inspection, planning, or any inspection required by regulatory authorities or by law.<\/p>\n

11. Use, Product Safety, Disclosure of Information<\/h2>\n

11.1 The customer must use the goods only in accordance with the product information and safety and usage instructions.<\/p>\n

11.2 Technical data sheets, installation instructions, warnings, and safety instructions must be retained and provided to downstream users, building owners, installers, or operators when the products are transferred, installed, or processed.<\/p>\n

11.3 Modifications, improper use, or processing that deviates from the product information may impair the product\u2019s properties and result in the loss of any contractual claims, to the extent that the defect was caused thereby.<\/p>\n

12. Liability<\/h2>\n

12.1 Gingkos S.L. shall have unlimited liability in cases of willful misconduct, gross negligence, injury to life, body, or health, in accordance with mandatory product liability laws, and in all cases where a limitation of liability is prohibited by law.<\/p>\n

12.2 All mandatory statutory rights of consumers remain unaffected.<\/p>\n

12.3 With respect to business entities, Gingkos S.L. is liable for damages resulting from a breach of material contractual obligations only in cases of simple negligence. In such cases, liability is limited to foreseeable damages typical for this type of contract. Liability for indirect damages, lost profits, or consequential damages is excluded with respect to business entities, unless there is willful misconduct, gross negligence, or mandatory statutory liability. <\/p>\n

12.4 The foregoing liability provisions also apply in favor of the legal representatives, employees, vicarious agents, and agents of Gingkos S.L.<\/p>\n

13. Complaints, Dispute Resolution<\/h2>\n

13.1 Customers may submit complaints and claims to the following address:<\/p>\n

13.2 Gingkos S.L. strives to resolve customer complaints directly and objectively.<\/p>\n

13.3 Gingkos S.L. does not participate in any voluntary consumer dispute resolution or mediation proceedings, unless mandatory statutory provisions provide otherwise or it is expressly agreed otherwise in a specific case.<\/p>\n

14. Data Protection<\/h2>\n

14.1 Information regarding the processing of personal data is provided in the separate privacy policy of Gingkos S.L.<\/p>\n

14.2 To the extent that payment service providers, shipping service providers, or technical service providers are involved, data processing is conducted in accordance with the Privacy Policy and applicable data protection regulations.<\/p>\n

15. Governing Law, Jurisdiction<\/h2>\n

15.1 The laws of the Kingdom of Spain shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods, unless mandatory statutory provisions provide otherwise.<\/p>\n

15.2 With respect to consumers, this choice of law shall apply only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has his or her habitual residence, provided that such mandatory provisions remain applicable under the applicable conflict-of-laws rules.<\/p>\n

15.3 For consumers, the statutory places of jurisdiction apply.<\/p>\n

15.4 If the customer is a business, a legal entity under public law, or a special fund under public law, then\u2014to the extent permitted by law\u2014Palma de Mallorca, Spain, shall be the exclusive venue for all disputes arising out of or in connection with the contractual relationship.<\/p>\n

16. Final Provisions<\/h2>\n

16.1 Should any provision of these General Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected, to the extent permitted by law.<\/p>\n
